1. Acceptance of Terms
By accessing or using the SourceHawk platform ("Platform," "Service") at sourcehawk.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
SourceHawk is an AI-powered B2B manufacturer discovery platform that provides users with access to a curated database of apparel and product manufacturers. The Platform allows users to search for manufacturers, view limited public information for free, and unlock full manufacturer contact details (including WhatsApp numbers, email addresses, and websites) through a credit-based subscription system.
3. Accounts and Registration
To access the full features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to terminate accounts that violate these Terms or are used for fraudulent purposes.
4. Subscriptions, Credits, and Payments
Free Trial
New subscribers receive a 3-day free trial. A valid credit card is required to start the trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the applicable rate.
Subscription Plans
Paid subscriptions are billed monthly. Each plan includes a set number of credits per month. Credits are used to unlock manufacturer contact details. Unused credits do not roll over to the next billing period.
Cancellation and Refunds
You may cancel your subscription at any time from your Dashboard. Cancellation takes effect at the end of the current billing period. You retain access to your credits until then. We do not provide refunds for partial months or unused credits, except where required by applicable law.
Payment Processing
All payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. You agree to Stripe's Terms of Service in addition to these Terms.
5. Acceptable Use
You agree to use the Platform only for lawful business purposes. You must not:
- Scrape, copy, or systematically download manufacturer data from the Platform
- Resell, redistribute, or sublicense manufacturer contact information obtained through the Platform
- Use the Platform to send unsolicited commercial messages (spam) to manufacturers
- Attempt to circumvent the paywall or credit system through technical means
- Use the Platform for any illegal purpose or in violation of any applicable laws
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Upload or transmit viruses, malware, or any other harmful code
- Interfere with or disrupt the integrity or performance of the Platform
6. Manufacturer Data and Contact Information
Manufacturer contact information provided through the Platform is intended solely for legitimate B2B sourcing inquiries. SourceHawk acts as a directory service only. We do not verify the accuracy of all manufacturer data in real time, do not endorse any manufacturer, and are not a party to any transaction or agreement between you and a manufacturer. 7. Intellectual Property
The SourceHawk Platform, including its design, logo, AI search technology, and curated manufacturer database, is owned by SourceHawk and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal business purposes. You may not reproduce, distribute, modify, or create derivative works of any part of the Platform without our express written permission.
8. User-Generated Content
By submitting reviews, ratings, or other content to the Platform, you grant SourceHawk a worldwide, royalty-free license to use, display, and distribute that content on the Platform. You represent that you have the right to submit such content and that it does not violate any third-party rights. We reserve the right to remove any content that violates these Terms or is otherwise objectionable.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY MANUFACTURER DATA ON THE PLATFORM.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOURCEHAWK AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM TRANSACTIONS WITH MANUFACTURERS, INACCURATE MANUFACTURER DATA, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless SourceHawk and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Orange County, California.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Platform.
